Terms of Service

1. Acceptance of Terms

These Terms of Service (“Terms”) are a legal agreement between you and GALA, LLC, a New York limited liability company (“GALA,” “we,” “us,” or “our”), governing your access to and use of the GALA website, members portal, application process, and related services (collectively, the “Services”).

GALA is based in New York City, United States. The Services are offered from the United States and may be used by applicants and members worldwide, subject to these Terms and applicable law.

By submitting a membership application, creating an account, reserving a piece for experience, or otherwise using the Services, you acknowledge that you have read, understand, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Services.

You represent that you are at least twenty-one (21) years of age and have the legal capacity to enter into this agreement. If you access the Services on behalf of an entity, you represent that you have authority to bind that entity.

2. Nature of the GALA Membership

GALA is a private membership club that provides approved members with access to a curated collection of Hermès handbags — including Birkin and Kelly styles — for short, defined experience periods before a member decides whether to acquire a piece.

GALA is not a rental service, subscription closet, or payment-plan provider. Membership grants access to the collection and members portal; separate reservation fees apply when a member selects a piece for a defined experience period.

When a piece is delivered to a member for an experience period, the member receives temporary possession of GALA’s property for that period. The member does not acquire ownership, title, or any security interest in any piece unless and until a separate acquisition is completed through GALA’s concierge process.

3. Eligibility and Membership Application

Membership is by application and invitation only. GALA reserves the sole and absolute discretion to approve, deny, waitlist, or revoke membership applications without obligation to provide reasons.

To apply, you must provide accurate, complete, and current information, including contact details, date of birth, location, and such other information as GALA may request (including social or professional links, an introduction, intended use of membership, and collection preferences).

You may not submit multiple simultaneous applications, apply under a false identity, or misrepresent any material fact. GALA may verify identity through Persona or another identity-verification provider as a condition of approval or continued membership.

Approval does not guarantee availability of any particular piece, experience period, or acquisition opportunity.

4. Membership Fee

Approved members pay a recurring membership fee that grants access to the members portal and the GALA collection. Current membership fees, billing cadence, and any tier distinctions are published in the member portal and incorporated by reference into these Terms.

Membership fees are charged through Stripe or another designated payment processor. By providing payment information, you authorize GALA and its processor to charge applicable fees on a recurring basis until you cancel in accordance with these Terms.

Failure to pay membership fees when due may result in suspension or termination of membership and loss of access to the portal and collection.

Applicable taxes may be added where required by law.

5. Member Account

If approved, you must maintain an account with accurate credentials and contact information. You are responsible for all activity under your account and for safeguarding your login credentials.

Notify GALA immediately of any unauthorized access or suspected breach. GALA is not liable for losses arising from your failure to maintain account security.

You may not share, sell, transfer, or permit any third party to use your account or membership privileges.

6. Reservations and Experience Periods

Members may request an experience period for an available piece by selecting a duration and submitting a reservation through the portal. Reservation availability is subject to inventory, member standing, and GALA’s discretion.

Each reservation specifies a start date and end date (the “Experience Period”). Available durations and fees are published in the member portal at the time of booking.

A confirmed reservation creates a temporary possession arrangement: GALA delivers the piece to the member (or makes it available for pickup or delivery as arranged), and the member accepts responsibility for the piece during the Experience Period until it is returned to GALA in accordance with these Terms.

Reservations are personal to the approved member. The member named on the reservation must be the person who takes possession of the piece and is present for delivery or pickup, unless GALA expressly authorizes otherwise in writing.

7. Reservation Fees and Experience Credits

Each reservation incurs a reservation fee as published in the member portal. Reservation fees are separate from membership fees.

Reservation fees may accrue as non-cash credit (“Experience Credit” or “Credit”) toward the acquisition price of the same piece or another eligible piece, as published in the portal.

Experience Credits are not cash, are not legal tender, are not redeemable for cash, and cannot be transferred to another person.

GALA will publish credit rules, applicable caps, expiration (if any), and redemption procedures in the member portal. In the event of conflict between portal disclosures and these Terms, these Terms control unless the portal expressly states otherwise for a specific promotion or piece.

8. Security Deposit

GALA may require a refundable security deposit before or at the start of an Experience Period. Deposit amounts are disclosed in the member portal at reservation confirmation.

Deposits are held as security for timely return and condition of the piece. GALA may apply all or part of a deposit against late fees, damage charges, replacement value, or other amounts owed under these Terms. Any remaining balance will be refunded after GALA confirms safe return and acceptable condition, within a reasonable period.

GALA may place an authorization hold or charge on the member’s payment method in lieu of or in addition to a separate deposit, as disclosed at checkout.

9. Fees, Payment, and Taxes

All fees — membership fees, reservation fees, security deposits, late fees, acquisition prices, and other charges — are displayed or confirmed in the member portal or by GALA concierge unless otherwise required by law.

Payments are processed by Stripe, Inc. and its affiliates (“Stripe”). GALA does not store full payment card numbers. By submitting payment information, you agree to Stripe’s terms and privacy policy in addition to these Terms.

You authorize GALA and Stripe to charge your designated payment method for all amounts due. You are responsible for keeping payment information current.

Applicable sales, use, or other taxes may be added where required by law.

Except as expressly stated in these Terms or required by law, all fees are non-refundable.

10. Member Care, Return, and Condition

During each Experience Period, the piece is in your care, custody, and control. You are responsible for protecting the piece from loss, theft, damage, and unauthorized use.

You must use the piece only for personal experience purposes consistent with these Terms. You may not sublet, lend, sell, pledge, alter, repair, authenticate, or otherwise dispose of any piece.

You must return the piece by the end date of the Experience Period, in the same condition as received, subject to normal wear as defined below. Return method, location, and hours are specified in the portal or by concierge.

Immediately report any loss, theft, damage, or suspected counterfeit substitution to GALA and, where appropriate, to local law enforcement.

Normal wear vs. damage

“Normal wear” means minor, expected signs of careful personal use during the Experience Period. “Damage” means any harm beyond normal wear, including stains, scratches, structural damage, missing components (including clochette, keys, lock, strap, or dust bag), odor, or any condition that diminishes value.

GALA will assess condition upon return. If GALA determines damage beyond normal wear, you are responsible for repair or replacement costs up to the piece’s full replacement value as determined by GALA in good faith based on current market valuation.

11. Loss, Theft, and Member Liability

You are responsible for loss, theft, or damage to any piece in your possession during an Experience Period, up to the full replacement value of the piece, except to the extent (if any) covered under GALA’s insurance program as described in Section 12.

If a piece is not returned, is returned in damaged condition, or is returned and GALA reasonably believes it is not the same item originally delivered (including authentication concerns), GALA may charge your payment method for repair costs, replacement value, authentication costs, and related expenses.

GALA may pursue all remedies available at law or equity, including civil recovery and, where applicable, referral for criminal prosecution.

12. Insurance

GALA maintains insurance on its inventory. Coverage terms — including limits, exclusions, deductibles, and whether any protection extends to members during an Experience Period — will be described in the member portal or supplemental membership materials when available.

Until specific coverage terms are published and accepted, you should assume that you remain primarily responsible for loss, theft, and damage as stated in Section 11. Do not rely on any oral or informal statement regarding insurance coverage.

13. Late Return, Non-Return, and Forced Acquisition

If you fail to return a piece by the end of the Experience Period, the piece is late. Late return may trigger fees and remedies published in the member portal, which may include:

FAILURE TO RETURN A PIECE WHEN DUE MAY RESULT IN CIVIL LIABILITY AND, WHERE PERMITTED BY LAW, CRIMINAL PROSECUTION. GALA may pursue all available remedies to recover its property and related losses.

14. Acquisition of Pieces

Members may acquire pieces from GALA’s collection through a private concierge process. Acquisition prices are quoted or published at the time of purchase and may reflect market conditions, piece condition, and rarity.

Experience Credits, if applicable, may reduce the acquisition price as published in the portal.

All acquisitions are subject to separate confirmation by GALA and may require additional documentation. Pieces remain GALA property until acquisition is complete and confirmed.

GALA does not guarantee availability of any piece for acquisition.

16. Suspension and Termination

GALA may suspend or terminate membership, cancel reservations, or refuse future service at any time, with or without cause, in its sole discretion, subject to applicable law.

Grounds for termination may include: payment failure, misrepresentation, failure to return a piece, damage or loss, prohibited conduct, abusive behavior, adverse identity verification results, or conduct GALA reasonably believes harms the club, its members, or its inventory.

Upon termination, you must immediately return any piece in your possession and pay all outstanding amounts. Unused Experience Credits may be forfeited unless the portal states otherwise or applicable law requires a different result.

You may cancel membership as provided in the portal. Cancellation does not relieve you of obligations for active Experience Periods or amounts already owed.

17. Communications and Electronic Records

By using the Services, you consent to receive transactional and membership-related communications by email, SMS, phone, or portal notification.

Where marketing communications are sent, you may opt out as described in our Privacy Policy. Transactional messages related to your application, membership, or reservations may still be sent.

You agree that electronic records and signatures satisfy any legal requirement that such communications be in writing, to the extent permitted by law.

18. Intellectual Property

The Services, portal, branding, photography, and content are owned by GALA or its licensors. You receive a limited, revocable, non-transferable license to access the Services for personal membership use.

You may not copy, scrape, frame, or exploit GALA content without written permission. Hermès is a third-party trademark; GALA is not affiliated with Hermès International or any Hermès entity unless expressly stated.

19. Privacy

GALA’s collection and use of personal information is described in our Privacy Policy, incorporated by reference. By using the Services, you acknowledge the Privacy Policy.

20. Disclaimers

THE SERVICES AND ALL PIECES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, GALA DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

GALA does not warrant uninterrupted portal access, availability of any piece, or that any piece will meet your expectations for acquisition.

GALA makes authentication and condition assessments in good faith but does not guarantee that any description, provenance statement, or market valuation is error-free.

21. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GALA AND ITS OFFICERS, MEMBERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, OR GOODWILL.

GALA’S AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE SERVICES WILL NOT EXCEED THE AMOUNTS YOU PAID TO GALA IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Some jurisdictions do not allow certain limitations; in those jurisdictions, GALA’s liability is limited to the fullest extent permitted by law.

22. Indemnification

You agree to indemnify, defend, and hold harmless GALA and its officers, members, employees, agents, and insurers from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising from: (a) your use of the Services; (b) your possession or use of any piece; (c) your breach of these Terms; or (d) your violation of any law or third-party right.

23. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of New York, without regard to conflict-of-law principles.

You agree that the state and federal courts located in New York County, New York, have exclusive jurisdiction over disputes arising out of or relating to these Terms or the Services, unless otherwise required by law.

You waive any objection to venue in such courts.

24. General Provisions

These Terms, together with the Privacy Policy and any portal disclosures expressly incorporated by reference, constitute the entire agreement regarding the Services.

GALA may modify these Terms at any time by posting updated Terms and revising the “Last Updated” date. Continued use after changes constitutes acceptance, to the extent permitted by law.

If any provision is held invalid, the remaining provisions remain in effect.

GALA’s failure to enforce any provision is not a waiver.

You may not assign these Terms; GALA may assign them in connection with a merger, acquisition, or sale of assets.
